Every individual or institution which engages in any form of business with Broadstreet and any of its affiliated entities is notified that substantial materials exist in a separate data room to which each individual or institution is required to review and understand and assent to the same as certain material information is disclosed therein and failure to read, understand and accept such information is prohibited. Participation with Broadstreet in any manner is solely intended for extremely sophisticated individuals and institutions with the assistance of their professional advisors in order to make informed decisions.
The number of entities and business lines operating under the Broadstreet name is numerous and diverse and is often involved in legal, regulatory and administrative matters on both a federal and state level, some of which you may consider material to your decisions. Each and every entity is private and not subject to regular disclosures as might be available in a form 10k or 8k but in order to keep investors and interested parties fully advised of the status of those matters, again some of which may be deemed material to you, Broadstreet has a data room which contains all of such actions and you and your advisors, be they legal advisors or otherwise, are directed to review the Broadstreet data room for all such information, as well as any other additional information which may not be directly addressed in this document. You are deemed to be an accredited investor and as such disclosure obligations to you are not as expansive as those made by public and/or regulated entities and as such, it is your obligation to satisfy your own due diligence needs and requirements.
